Affiliate Program Terms & Conditions

1. Independent Affiliate

Participation in this program does not create an employment, partnership, joint venture, agency, franchise, or other business relationship between you and Dr. Roseann. Affiliates participate as independent contractors.

Participation in the Affiliate Program is subject to approval and may be denied, suspended, or revoked at Dr. Roseann's sole discretion.

2. Affiliate Responsibilities

Affiliates agree to promote Dr. Roseann products and services honestly, ethically, and in compliance with all applicable federal, state, and local laws, including the Federal Trade Commission (FTC) Endorsement Guides. Affiliates are responsible for clearly disclosing any material connection when promoting affiliate links and for ensuring that all information provided to Dr. Roseann remains accurate and current.

3. Qualified Commissions

Commissions are earned only on qualified purchases tracked through your unique affiliate link. Sales resulting from refunds, chargebacks, fraudulent activity, coupon abuse, self-referrals (where prohibited), or violations of these Terms & Conditions are not eligible for commissions.

4. Payments

Qualified commissions are paid monthly via PayPal after the applicable 30-day refund period has expired. Commissions are earned only on qualified sales that are not canceled, refunded, charged back, or otherwise deemed ineligible.

Affiliates may track referrals, sales, commissions, payouts, and account activity by logging into the Affiliate Portal. Affiliates are responsible for maintaining accurate and current account, contact, and payment information.

Where required by applicable law, affiliates must provide the appropriate tax documentation (such as a completed IRS Form W-9 for U.S. affiliates) before payments are issued. The threshold for submitting a 1099 in the US is $600. Affiliates are solely responsible for reporting and paying any taxes owed on commissions earned through the Affiliate Program.

Dr. Roseann reserves the right to review, verify, adjust, or withhold commission payments for transactions that are canceled, refunded, charged back, fraudulent, or otherwise determined, in Dr. Roseann's sole discretion, to be ineligible under these Terms & Conditions.

5. Prohibited Activities

Affiliates may not:

• Make false, misleading, or unsubstantiated claims about Dr. Roseann products or services.
• Misrepresent themselves as employees, representatives, or official spokespeople.
• Use spam, deceptive advertising, trademark infringement, or other unethical marketing practices.
• Engage in any activity that could damage the reputation of Dr. Roseann, its brands, or its intellectual property.

Violation of these Terms may result in suspension or termination of your affiliate account and forfeiture of unpaid commissions.

6. Intellectual Property

Dr. Roseann grants affiliates a limited, revocable, non-exclusive, non-transferable license to use approved marketing materials solely for promoting the Affiliate Program. All trademarks, logos, copyrighted materials, and other intellectual property remain the exclusive property of Dr. Roseann and may not be copied, modified, reproduced, distributed, or used outside the scope of this program without prior written permission.

7. Program Changes

Dr. Roseann reserves the right to modify, suspend, or discontinue the Affiliate Program at any time, including commission rates, payment terms, promotional materials, eligibility requirements, and these Terms & Conditions, and will provide reasonable notice where practicable. Continued participation in the program constitutes acceptance of any updates.

8. Confidentiality

Affiliates may receive access to non-public information, including promotional plans, marketing materials, pricing, or other confidential business information. Affiliates agree not to disclose or use such information except as necessary to participate in the Affiliate Program.

9. Termination

Dr. Roseann may suspend or terminate an affiliate account at any time for violations of these Terms & Conditions or for conduct deemed fraudulent, deceptive, unlawful, or harmful to the brand. Upon termination, any unpaid commissions associated with ineligible or prohibited activity may be withheld or forfeited.

10. Limitation of Liability

To the fullest extent permitted by law, Dr. Roseann shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or related to participation in the Affiliate Program. Total liability shall not exceed the total commissions paid to the affiliate during the twelve (12) months preceding the event giving rise to the claim.

11. Governing Law

These Terms & Conditions shall be governed by and construed in accordance with the laws of the State of Connecticut, without regard to its conflict of law principles. Any disputes arising under these Terms shall be resolved in the appropriate state or federal courts located in Connecticut.

12. Acceptance

By applying to or participating in the Dr. Roseann Affiliate Program, you acknowledge that you have read, understood, and agree to be bound by these Affiliate Program Terms & Conditions.
